PRAGUE, September 16, 2009 - T-Mobile and Ceske Radiokomunikace today announced that the companies have signed an agreement under which T-Mobile will acquire the Retail telecom business of Ceske Radiokomunikace. The agreement is subject to competition clearance. This transaction will include assets relevant to SME, SoHo and residential customer bases as well as the transfer of a number of highly-skilled employees of Ceske Radiokomunikace. The companies have also signed agreements about ongoing cooperation in relation to transition services to facilitate smooth transfer of the business, and also wholesale services to be provided to ensure continuous provision of high quality services to customers

Ceske Radiokomunikace is the leading alternative provider of fixed-line telecom solutions to SME, SoHo and residential customers in the Czech Republic. The business's portfolio of products comprises fixed and wireless broadband, directly and indirectly connected voice services. As of 31 December 2008, more than 170,000 customers were connected to the state-of-the-art network.

The current retail clients of Ceske Radiokomunikace will benefit from joining the biggest mobile telecommunication network in the Czech Republic: they will get the same services they are used to under the same conditions as before but on top of that, they will gain access to all the benefits T‑Mobile offers to its clients.

"Ceske Radiokomunikace has fully analyzed its market position and the growth opportunities in the retail segments concerned. We have compared our brand position and service to other competitors' offers as well as our ability to differentiate effectively in the market," said Jane Hannah, Chief Executive Officer of Ceske Radiokomunikace. "We have decided to sell our Retail telecom business to T-Mobile and will fully concentrate on our core businesses - TV and radio broadcasting and broadcasting infrastructure including wholesale and corporate telecom businesses. Our vision is to continue to be the leading expert partner in delivering top quality analogue and digital broadcasting services, helping wholesale customers to effectively enable network infrastructure and providing converged network solutions to corporate customers."

"The acquisition will allow us to extend our business scope into offering also fixed propositions and will position T-Mobile as number one alternative DSL player. With this step we will support our long-term growth and profitability," said Roland Mahler, Managing Director of T-Mobile CZ, adding: "Both T‑Mobile and Ceske Radiokomunikace strive to deliver the best service to their customers. The acquisition will enhance our ability to provide excellent integrated solutions for all market segments."
